Business Globalisation - Retail and Leisure sector related.


DISPOSAL OF NOMI SA on behalf of KINGFISHER PLC – September 2003.

Following provision of the assessment of the company (largest DIY chain in Poland , T/O $ 120,000,000) Kingfisher PLC resolved to place the company on the market.

All potential buyers were scrutinised and shortlist established. Following initial negotiations of terms two of the most appropriate companies were engaged in final discussion, following which we recommended the offer of Enterprise Investors (Polish Enterprise Fund IV).

We then helped negotiate terms and provide transacting environment to facilitate mutually beneficial outcome.

Transaction has been completed pending approval by Poland ’s monopolies commission

Take-over of a large Polish quoted retailer by a large Western plc.

Following target identification we verified stated fundamentals and assessed the quality of the management in its entirety. We also completed market study of the narrow sector to verify the ability to deliver stated competitive advantage. Advised on the quality and integrity of transaction partners.

A retail audit was run, including the scrutiny of the integrity of vital functions such as purchasing, systems, logistics, personnel and store operations.

Disposal of Polish operations of Western-owned drugstore chain.

Client operates in four central European markets. We helped re-formulate growth strategy. Following decision to leave the Polish market, potential buyers were found, scrutinised and short-listed. Negotiations commenced within 10 days from the beginning of the assignment.

Managing corporate development of growing retailer.

Following scrutiny of this, very successful entrepreneurial start-up, we have designed the most appropriate operating structure enabling the company to grow into a market leading chain of stores.  We have then managed the search and provision of external development capital, including preparation of all documentation and supervision of negotiations.

Retail audit of luxury goods operator.

Following an acquisition by a large quoted operator we have reviewed all aspects of the operation of an upscale multiple fashion retailer, including design and production of product, product selection, marketing, finance function, store build-out and store operations and helped the management arrive at the best practices in all areas.  The implementation resulted in substantially improved trading results.

Change management of market leading private health company.

We are currently executing an overhaul of the entire operation, including cost efficiencies, systems, marketing, statutory obligations compliance, business development - strategy and execution, sales and sales support.

Scrutiny of the entire non-food retail sector of Poland.

This was conducted on behalf of venture capital funds wishing to make strategic investments. Mapped out retailers in major catchments, scrutinised quality of their USP, brand, management and underlying financial situation. Overlaid the findings with the general marker situation. As result was able to identify major, precise gaps in the market. Subsequently investments were made in several chains.

Advice on post investment strategy and the subsequent development plan for a large Romanian electrical retailer.

The retailer was scrutinised in all relevant details: management, systems, personnel, logistics, underlying cost structures, marketing. Results led to the creation and implementation of a development plan and the subsequent achievement of the number one market position.
